AGE – You must be at least twenty-one years old to register for Shidduch Central

 

MARITAL STATUS – By registering for our Services, you may be single or married

 

CRIMINAL CONVICTIONS – By registering for our Services, you represent and warrant that you have never been convicted of a felony or indictable offence and that you are not required to register as a sex offender with any governmental body.

 

 In consideration of the mutual covenants, representations, warranties, and agreements set forth herein, and with the intent to be legally bound, the parties agree as follows:

 

  1. AGREEMENT TERMS:

 

1.1 Matchmaking Services:

THE COMPANY – SHIDDUCH CENTRAL will offer personalized, one-on-one Matchmaking Services through a comprehensive screening process. This process involves a detailed meeting and interview with potential suitors/singles to secure the best possible match for THE CLIENT/SINGLE. Custom matchmaking searches will be tailored to meet THE CLIENT’s specific criteria. THE SHADCHAN will be contacted by THE CLIENT/SINGLE. The SHADCHAN responsibility will be to contact or connect or interview THE CLIENT/SINGLE.

 

1.2 Date Coaching:

THE COMPANY is currently unable to provide date coaching to help ensure that THE CLIENT/SINGLE is prepared for dating and relationships. This service is however available but at an additional cost. This service is arranged directly between SHADCHAN AND SINGLE. THE COMPANY/SHIDDUCH CENTRAL accepts no responsibility for this.

 

  1. PAYMENT TERMS:

 

2.1 Consultation Fee:

There is presently NO consultation fee to THE SHADCHAN OR THE CLIENT/SINGLE. 

 

2.2 Match Fee:

There is presently NO consultation fee to THE SHADCHAN OR THE CLIENT/SINGLE. Separate SHADCHAN FEE is to be agreed upon by the SHADCHAN and THE CLIENT.

 

2.3 Payment Method:

All payments must be made through SHADCHAN directly

 

2.4 Contract Term:

The minimum agreement term for this contract is one (1) year. Can be terminated at anytime with 60 days notice.

 

  1. DISCLOSURE OF INFORMATION:

 

3.1 Client Eligibility:

THE CLIENT/SINGLE affirms that they are at least 18 years of age and are single.  If THE COMPANY discovers that THE CLIENT/SINGLE is married or still residing with a spouse, THE CLIENT’s/SINGLE’s status will be terminated immediately.

 

3.2 Updates to Personal Information:

THE CLIENT/SINGLE is responsible for notifying THE COMPANY of any changes to their personal status, including changes in address, telephone number(s), or marital status. Such updates must be provided within 5 business days, either in writing or via email.

 

3.3 Right to Deny Service:

THE COMPANY reserves the right to deny, revoke, or withhold CLIENT/SINGLE status and associated benefits from anyone who, in THE COMPANY’s opinion, attempts to abuse, exploit, or misuse our services and resources for improper, immoral, or illegal purposes.

 

  1. ACCURACY OF INFORMATION:

 

4.1 Disclaimer of Warranties:

THE COMPANY does not make any representations or warranties, whether express or implied, regarding the accuracy or authenticity of the information provided by its Clients. THE CLIENT/SINGLE acknowledges and agrees that any information received about other CLIENT/SINGLE will be, to the best of THE COMPANY’s knowledge and ability, accurate and free of falsehoods.

 

  1. CONFIDENTIALITY:

 

5.1 Protection of Personal Information:

THE COMPANY will not disclose your personal information without your prior written consent, except when required by law or when THE CLIENT/SINGLE has been notified in writing and has agreed to the disclosure.

 

  1. CHANGES IN PRACTICE:

 

6.1 Modifications to Procedures:

THE CLIENT/SINGLE and SHADCAN agrees that THE COMPANY may, at its sole discretion and without prior notice, change or modify its procedures as deemed necessary to provide the best possible service.

 

  1. CANCELLATIONS AND REFUNDS:

 

7.1 No Refunds or Cancellations:

THE CLIENT/SINGLE understands and agrees that THE COMPANY does not offer refunds, cancellations, or rescissions of any kind, and THE CLIENT/SINGLE will not request them. Presently this is a free service.

 

  1. TRANSFER OF RESPONSIBILITY:

 

8.1 Non-Transferability of Agreement:

This SHADCHAN Agreement may not be assigned or transferred to any other party and is intended solely for the SHADCHAN specified in this agreement.

 

  1. TERMINATION

 

9.1 Grounds for Immediate Termination:

THE CLIENT/SINGLE and SHADCHAN acknowledges that THE COMPANY may immediately terminate this Agreement or revoke your CLIENT/SINGLE/SHADCHAN status without a refund if you provide any false or misleading information, including but not limited to, inaccuracies regarding your use of alcohol or controlled substances, marital status, cohabitation arrangements, or criminal record.

 

9.2 Harassment and Aggressive Behavior:

If THE COMPANY determines that THE CLIENT/SINGLE/SHADCHAN has exhibited aggressive behavior or harassed employees or other clients, whether in person, online, or through any other means, THE CLIENT/SINGLE/SHADCHAN will be removed from THE COMPANY’s services without a refund.

 

9.3 Non-Responsiveness:

THE CLIENT/SINGLE AND SHADCHAN must ensure that emails from shidduch@shidduchcentral.com are on their safe sender list to avoid them being marked as spam.

 

  1. CONSENT FOR INFORMATION DISCLOSURE

 

10.1 Authorization to Share Information:

THE CLIENT/SINGLE/SHADCHAN authorizes THE COMPANY to use the information provided by THE CLIENT/SINGLE/SHADCHAN to perform its services, including sharing relevant information with other Clients as necessary.

 

  1. DISPUTES

 

11.1 Responsibility for Interactions:

THE CLIENT/SINGLE/SHADCHAN is solely responsible for interactions with any matches made through the service. THE COMPANY will not act as a monitor or mediator in disputes that may arise between THE CLIENT/SINGLE/SHADCHAN and other parties.

 

  1. PRIVACY AND COMMUNICATIONS

 

12.1 Methods of Communication:

THE COMPANY will communicate with THE CLIENT/SINGLE/SHADCHAN using various methods, including but not limited to, face-to-face meetings, emails, and telephone calls, to provide updates, service information, and other correspondence.

 

  1. BEHAVIOR AND CONDUCT

 

13.1 Investigation and Termination:

THE COMPANY reserves the right to investigate and terminate your membership if you misuse the Service or engage in behavior that is deemed inappropriate, unlawful, or illegal. The following actions are prohibited, including but not limited to:

  • Impersonating any person or entity.
  • Stalking or harassing any person.
  • Implying or expressing that any statements you make are endorsed by THE COMPANY.
  • Engaging in criminal activities, causing bodily harm, or physical damage to another individual.

 

13.2 Compliance with Conduct Guidelines:

THE CLIENT/SINGLE/SHADCHAN agrees to adhere to THE COMPANY’s guidelines for proper conduct when interacting with staff and affiliated contractors.

 

13.3 Personal Use of Services:

CLIENT/SINGLE/SHADCHAN status with THE COMPANY is for personal use only, and THE CLIENT/SINGLE/SHADCHAN agrees not to use the services received for any business or commercial purposes.

 

  1. LIABILITY

 

14.1 Limitation of Liability:

THE COMPANY’s maximum liability to THE CLIENT/SINGLE/SHADCHAN for any claim or cause of action, whether in contract, tort, or otherwise, shall be limited to the return of the amounts paid to THE COMPANY.

 

14.2 Indemnification:

THE CLIENT/SINGLE/SHADCHAN agrees to indemnify and hold THE COMPANY harmless from any and all damages, claims, causes of action, suits, demands, and liabilities, including attorneys’ fees, that arise from, relate to, or result from:

  • Any inaccuracies or non-disclosures of information by THE CLIENT/SINGLE/SHADCHAN or any other CLIENT/SINGLE/SHADCHAN;
  • Any services provided by THE COMPANY; and
  • Any actions taken by THE CLIENT/SINGLE/SHADCHAN or any other Client, whether during the term of this Agreement or after its termination.

 

14.3 Exclusion of Incidental and Consequential Damages:

Under no circumstances shall THE COMPANY be liable for any incidental, consequential, or indirect damages, including but not limited to physical injury or emotional distress, arising out of:

  • The use or inability to use THE COMPANY’s Website or services;
  • Interactions between THE CLIENT/SINGLE/SHADCHAN and other Clients/SINGLE/SHADCHAN (including any communications or meetings);
  • THE COMPANY’s provision of services, including introduction services, the disclosure of information about THE CLIENT/SINGLE/SHADCHAN to other Clients/SINGLE/SHADCHAN, and the availability of information about other Clients/SINGLE/SHADCHAN to THE CLIENT/SINGLE/SHADCHAN;
  • Reliance on any information, opinions, advice, or statements posted on the Website or transmitted to Clients.

 

14.4 No Liability for Special or Punitive Damages:

In no event shall THE COMPANY be liable to THE CLIENT/SINGLE/SHADCHAN or any third party for any indirect, consequential, exemplary, incidental, special, or punitive damages, even if THE COMPANY has been advised of the possibility of such damages.

 

14.5 Disclaimer of Responsibility:

THE COMPANY assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft, destruction, or unauthorized access to or alteration of user or CLIENT/SINGLE/SHADCHAN communications.

 

In addition to the above, any advice provided regarding dating or the matched individual is for informational and entertainment purposes only and is not intended to replace professional financial, medical, legal, or other advice. THE COMPANY makes no representations or warranties and expressly disclaims any and all liability concerning any treatment, action by, or effect on any person following the information offered or provided. If you have specific concerns or require professional or medical advice, you should consult with a qualified specialist.

 

  1. ARBITRATION AND GOVERNING LAW

 

15.1 Arbitration Agreement:

Any dispute or claim arising out of or relating to this Agreement, the services provided by THE COMPANY, or any alleged breach thereof, shall be resolved exclusively through binding arbitration administered by a party recommended by the _____ Supreme Court Of Justice. There are no exceptions. You may not initiate or participate in any class action, class arbitration, or other representative action against THE COMPANY under any circumstances.

 

15.2 Notice of Arbitration Rights:

By using THE COMPANY’s Website or services, you agree to the arbitration agreement above. This means YOU WAIVE YOUR RIGHT TO GO TO COURT to assert or defend any claims against THE COMPANY. YOU ALSO WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION OR OTHER CLASS PROCEEDING. Your rights will be determined by a NEUTRAL ARBITRATOR, NOT A JUDGE OR JURY. You are entitled to a fair hearing before the arbitrator, who can grant any relief a court can. However, arbitration proceedings are typically simpler and more streamlined than trials. Arbitrator decisions are enforceable in court and may be overturned only for very limited reasons.

 

15.3 Indemnification:

THE CLIENT/SINGLE/SHADCHAN agrees to indemnify and hold THE COMPANY, its subsidiaries, affiliates, officers, agents, managers, members, and employees harmless from any loss, liability, claim, or demand, including reasonable attorney’s fees, made by any third party due to or arising out of THE CLIENT’s/SINGLE/SHADCHAN use of the services in violation of this Agreement or any breach of this Agreement, including any breach of THE CLIENT’s/SINGLE/SHADCHAN representations and warranties.

 

15.4 Entire Agreement:

This Client Agreement constitutes the entire understanding between THE CLIENT/SINGLE/SHADCHAN and THE COMPANY. By entering into this contract, THE CLIENT/SINGLE/SHADCHAN acknowledges that they are not relying on any verbal conversations, promises, or other notions not set forth in this Agreement.

 

BY ACCEPTING THESE TERMS AND CONDITIONS, YOU THE SHADCHAN AGREE TO THE FOLLOWING:

  • You are at least twenty-one (21) years of age.
  • You represent and warrant that you have the right, authority, and capacity to enter into this Agreement and to abide by all of its terms and conditions.
  • You have never been convicted of a felony and are not required to register as a sex offender with any government entity.
  • THE COMPANY is a matchmaking service for single adults. By accepting these terms and conditions, you agree to all of the terms contained herein and are bound by this Agreement and all its provisions.

 

SHADCHAN Guidelines

  • Initial Contact:
    Shadchanim must call each new member within the same week they accept the member into their roster.


  • Eligibility:
    Married or Single Shadchanim are permitted to participate on this site.


  • Fee:
    Shadchanim charge either flat fee or gift for their matchmaking services.


  • Site Usage:
    All matches must be arranged through the Shidduch Central site.


  • Confidentiality:
    Your site password must remain confidential. You are the only person authorized to access the site, and you may not show the site or grant access to anyone else, whether single or married.
